4. Utility Token Notice / No Securities

Matrix.fun provides infrastructure for skill-based tournaments and community engagement. Matrix.fun also intends to issue a utility token, $MTX, to power platform features such as tournament hosting, boosting, and ecosystem participation.

$MTX is intended solely for utility purposes within the Matrix ecosystem and does not represent equity, ownership, or any claim in Matrix.fun, and is not intended to constitute a security in any jurisdiction.

Nothing on the Platform constitutes an offer to sell or a solicitation to buy securities or financial instruments.

5. No Guarantees or Financial Returns

Participation in any activities related to $MTX or tokens used on the Platform does not guarantee any financial return. Digital assets are highly volatile and involve a high risk of loss, including the potential loss of all capital. There is no assurance of future value, liquidity, or market access.

5A. Staking and Participation Rewards

$MTX staking is not a yield-bearing or investment product. Staking grants access to platform-based participation rewards that are variable, discretionary, and dependent on platform activity. No fixed returns, guaranteed rewards, or passive income are offered. Eligibility to claim any staking-related rewards may require maintaining an active participation status on the Matrix.fun platform, as defined by current platform requirements.

6. Platform Nature and Non-Custodial Use

Matrix.fun is a non-custodial platform. Users retain full control over their wallets and private keys at all times. Matrix.fun does not hold, manage, or recover user assets.

The Platform relies on third-party blockchain infrastructure, games, APIs, and service providers. Matrix.fun is not responsible for failures, outages, or vulnerabilities in third-party systems.

7. Skill-Based Gameplay, Not Gambling

Matrix.fun tournaments are designed to be skill-based. Outcomes are determined by gameplay performance and tournament rules, not chance-based betting or gambling mechanics. Users are responsible for ensuring their participation is legal in their jurisdiction.

8. Jurisdictional Restrictions

Participation in Matrix.fun and any token-related features may be restricted in certain jurisdictions and is not permitted where prohibited by law. Access to the Platform, $MTX, staking features, or token-related rewards may be limited or unavailable based on user location, residency, or applicable sanctions and regulatory requirements. This Master Legal Notice is governed by the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland, unless otherwise required by law.
